1.1 Welcome to Taste Marketplace (“Taste Marketplace”, “we”, “us”, “our”). These Terms and Conditions (“Terms”) govern your use of the website www.tastemarketplace.com.au (the “Site”) and the services we provide.

1.2 Our service connects users (“you”, “User”) with third-party providers of food and wine experiences, tours, and activities (“Vendors”). We act as an intermediary platform, allowing you to discover and book these experiences (“Experiences”).

1.3 By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use or access this Site.

1.4 We reserve the right to amend these Terms at any time. Any amendments take effect immediately once notified on this Site. Continued use of the Site after notification means you agree to the amended Terms.

2.1 Taste Marketplace is an experience aggregator and booking platform. We are not a travel agent, tour operator, or provider of the Experiences.

2.2 When you make a booking through our Site, you enter into a direct contractual relationship with the Vendor providing the Experience. Taste Marketplace is not a party to that contract.

2.3 We are responsible for the platform and the booking process. The Vendor is solely responsible for the delivery, quality, safety, and all other aspects of the Experience. Any disputes, issues, or claims relating to the Experience must be resolved directly with the Vendor.

3.1 To make a booking, you may be required to create an account. You agree to:
(a) provide information that is true, accurate, current, and complete;
(b) maintain and promptly update your account information;
(c) keep your password confidential and secure; and
(d) accept full responsibility for all activities that occur under your account.

3.2 You must be at least 18 years of age to create an account and make a booking. Some Experiences may have their own age restrictions (for example, for the service of alcohol), which will be indicated on the Experience listing.

4.1 Pricing: All prices on the Site are listed in Australian Dollars (AUD) and, unless otherwise stated, are inclusive of Goods and Services Tax (GST). Prices are set by Vendors and may change without notice. A price is only confirmed once you complete the booking process and receive a confirmation email.

4.2 Payments: We accept payments via the methods displayed on the Site at the time of booking. By providing your payment information, you authorise us to process payment for the total booking cost on behalf of the Vendor.

4.3 Service fees: Taste Marketplace may charge a non-refundable service fee or booking fee. This will be clearly displayed as part of the total price before you complete your booking.

4.4 Booking confirmation: After payment is completed, you will receive an email confirming your booking. This email is your proof of purchase. You may need to present the confirmation (digital or printed) to the Vendor at the Experience.

4.5 Accuracy: You are responsible for ensuring all booking details are correct, including date, time, number of participants, and any other requested information.

5.1 Vendor cancellation policies: Each Vendor has their own cancellation and refund policy, displayed on the Experience listing at the time of booking. You are responsible for reading and understanding the Vendor’s policy before booking.

5.2 Cancellations by you: To cancel a booking, follow the instructions on our Site or in your booking confirmation email. Depending on the Vendor’s policy and the timing of cancellation, you may receive a full refund, partial refund, or no refund. Taste Marketplace service fees are non-refundable in all circumstances.

5.3 Cancellations by the Vendor: If a Vendor cancels a confirmed booking for any reason (for example, weather or minimum numbers not met), you will typically be offered a choice of:
(a) rescheduling the Experience for an alternative date; or
(b) receiving a full refund of the amount paid for the Experience.
Taste Marketplace will facilitate this process, but the final remedy is at the Vendor’s discretion.

5.4 Rescheduling: Rescheduling is subject to the Vendor’s policy and availability. Contact us or the Vendor to enquire about rescheduling.

6.1 You agree to use this Site for its intended purpose and not to:
(a) make fraudulent, speculative, or false bookings;
(b) use any robot, spider, scraper, or other automated means to access the Site without our express written permission;
(c) post or transmit unlawful, threatening, defamatory, obscene, or pornographic material, or material that could encourage conduct considered a criminal offence or that violates any law; or
(d) interfere with or disrupt the Site or any servers or networks connected to the Site.

7.1 We encourage reviews for Experiences you have completed. By submitting content to our Site in any form, including reviews, photos, or comments (“User Content”), you grant Taste Marketplace a non-exclusive, royalty-free, perpetual, transferable, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content worldwide in any media.

7.2 You agree that any User Content you submit:
(a) is accurate;
(b) does not violate any law or third-party rights; and
(c) does not contain abusive, obscene, or otherwise objectionable material.

7.3 We may remove User Content at our sole discretion.

8.1 All content on this Site, including text, graphics, logos, icons, images, and software, is the property of Taste Marketplace or its content suppliers and is protected by Australian and international copyright and trademark laws.

8.2 You must not copy, reproduce, republish, upload, post, transmit, or distribute any content from this Site without our prior written permission.

9.1 No warranty: The Site and its content are provided on an “as is” and “as available” basis. We make no representations or warranties of any kind, express or implied, about the operation of this Site or the information, content, or materials included on it.

9.2 Role as intermediary: You acknowledge Taste Marketplace is a platform and not the provider of Experiences. To the fullest extent permitted by law, Taste Marketplace disclaims all liability for any loss, damage, injury, accident, delay, or expense arising out of or in connection with:
(a) the actions or inactions of any Vendor;
(b) the quality, safety, or execution of any Experience; or
(c) inaccurate or incomplete information provided by a Vendor on the Site.

9.3 Limitation of liability: Our total liability to you for any claims arising from your use of the Site or our services is limited to the total amount of any service fees you paid to us in the 12 months preceding the claim.

9.4 Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, term, condition, right, or remedy implied or imposed by any statute or regulation that cannot lawfully be excluded or limited, including under the Australian Consumer Law.

10.1 You agree to indemnify, defend, and hold harmless Taste Marketplace, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees and costs) arising out of or connected with:
(a) your access to or use of the Site;
(b) your breach of these Terms; or
(c) your infringement of any intellectual property or other right of any person or entity.

11.1 These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales for any disputes arising out of these Terms or your use of the Site.

11.2 Before commencing court proceedings, you and Taste Marketplace agree to use reasonable endeavours to resolve any dispute through good faith negotiations.

12.1 Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, that will not affect the remainder of the Terms, which will continue in full force and effect.

12.2 Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Taste Marketplace regarding your use of the Site.
